Private Limited Company
Incorporate under the Companies Act, 2013. The gold standard for VC-backed startups seeking equity sharing and high credibility.
Overview of Private Limited Company
A Private Limited (Pvt Ltd) Company is a highly structured and legally independent corporate entity. Governed by the MCA under the Companies Act, 2013, this structure requires a minimum of two directors and shareholders. Because ownership is represented by shares, it allows founders to easily raise Venture Capital (VC) or angel investments, issue Employee Stock Options (ESOPs), and scale their business internationally with high credit ratings.
Why Incorporate a Private Limited Company?
- Venture Capital Investment: The only structure that allows institutional investors (VCs, PE funds) to invest equity funds seamlessly.
- Limited Liability Protection: Shareholders' personal properties are completely secure. Liability is capped at unpaid share capital.
- Perpetual Succession: The company exists independently of directors/shareholders. Deaths or share transfers do not affect company operations.
